By accessing or using Uptool websites, tools, or related services (the "Services"), you agree to these Terms and conditions. If you do not agree, do not use the Services.

Uptool provides browser-based utilities and informational content. Features, availability, and behavior may change over time. The Services are offered for general use unless a specific tool states otherwise.

You agree not to misuse the Services. For example, you must not:

• Attempt to gain unauthorized access to our systems, accounts, or data.
• Use the Services to violate applicable law or third-party rights.
• Interfere with or disrupt the Services or other users.
• Automate access in a way that imposes an unreasonable load without permission.

Some features may allow or require sign-in. You are responsible for safeguarding credentials and for activity under your account. Notify us at the contact email below if you believe your account is compromised.

Uptool and its licensors retain rights in the Services, including software, branding, text, and design. Except for rights expressly granted to you, no rights are transferred.

The Services may rely on third-party components (for example hosting, maps, analytics, or security providers). Those providers may process data according to their own terms and policies.

The Services are provided "as is" and "as available" to the maximum extent permitted by law. We do not guarantee uninterrupted, error-free, or completely secure operation. Tools that perform calculations or conversions are for convenience and may not fit every professional or regulated use case.

To the maximum extent permitted by law, Uptool and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of the Services.

You agree to defend and indemnify Uptool against claims arising from your misuse of the Services or violation of these terms, to the extent permitted by law.

We may update these Terms from time to time. The updated version will be posted on this page with a new effective date where applicable. Continued use after changes means you accept the updated Terms.

These Terms are governed by applicable law without regard to conflict-of-law rules, except where mandatory consumer protections require otherwise.

Participation in the Uptool Partner and Referral Program is subject to these additional program terms:

• Program Enrollment & Links: Registered affiliates may generate tool-specific referral links and promotional codes for designated products. Referees who access our services via an active referral link or enter a valid promo code at checkout receive an introductory discount (typically 10%), subject to product-level eligibility.
• Net Revenue Commission Calculation: Commissions are calculated as a percentage of the net order value after deducting mandatory third-party payment processing fees charged by our payment provider (Stripe). Affiliates earn commission strictly on net proceeds received by Uptool.
• Escrow Holding Window: In order to protect against fraudulent credit card testing rings, chargebacks, and payment reversals, all attributed commissions are subject to a mandatory 35-day escrow holding period. Balances remain in holding status until 35 days have elapsed since the successful checkout transaction, after which they mature into the affiliate's withdrawable balance.
• Customer Satisfaction & Refund Policy: Uptool maintains an unconditional customer-first resolution policy. In the event of customer dissatisfaction, valid complaints, or chargebacks where a refund is issued, any pending or held referral commission associated with that order is immediately cancelled and voided. Affiliates do not earn commissions on refunded or reversed transactions.
• Payout Disbursal: Affiliates with an available balance meeting or exceeding the minimum payout threshold ($10 USD or R$ 50 BRL) may request disbursements to supported payout destinations (including Brazilian Pix, PayPal, Wise, or International Bank Wire). The affiliate is solely responsible for ensuring that all tax identifiers, account numbers, and payee legal names accurately correspond to their identity.
• Prohibited Conduct: Self-referrals (including purchasing credits or subscriptions for one's own accounts using one's own referral link or code) are strictly prohibited and earn zero commission. Paid search engine marketing (PPC) targeting Uptool brand keywords or trademarks (including "Uptool", "Image to SVG", "RouteCine"), cookie stuffing, misleading redirects, and spam transmissions are strictly forbidden. Any violation results in immediate termination of partner access and forfeiture of accrued escrow balances.
